Domicina LLC is a New Mexico limited liability company offering modular structures and related products to customers in the United States.

Domicina may work with third-party manufacturers, freight carriers, customs brokers, inspection companies, payment providers, and other service providers to fulfill orders.

We make reasonable efforts to keep product descriptions, dimensions, specifications, images, pricing information, and other website content accurate.

However:

• Product images and renderings may be illustrative.
• Colors, finishes, fixtures, dimensions, and materials may vary slightly from images.
• Website content does not constitute a final construction specification.
• Prices displayed or discussed before a formal quote may change due to customization, manufacturing costs, freight, tariffs, taxes, or other factors.

The specifications contained in the customer's final approved order documents control over general website descriptions.

Submitting a "Get Pricing," contact, or quote request does not create a purchase contract.

A purchase becomes binding only after the applicable order documents are accepted and Domicina confirms the order.

An order may include:

• A Domicina quote
• Invoice
• Sales agreement
• Product specification sheet
• Approved drawings or configuration
• Payment schedule
• Delivery terms
• Written change orders

If an order-specific document conflicts with these general Terms, the signed or approved order-specific document controls for that transaction.

The customer's final price and payment schedule will be shown in the applicable quote, invoice, or sales agreement.

Unless expressly included in writing, a quoted product price does not automatically include services such as foundation work, site preparation, utility connections, installation, crane service, permitting, engineering services, landscaping, or other work performed at the customer's property.

Taxes, duties, freight, customs charges, inspection costs, or other expenses are included only when identified as included in the customer's order.

Domicina may require deposits or milestone payments before manufacturing, customization, shipment, or other work begins.

Many Domicina structures are manufactured, sourced, configured, or customized specifically for an individual customer.

Once an order has been released to manufacturing or Domicina has committed funds to a manufacturer or other third party, cancellation rights may become limited.

Customers are responsible for reviewing and approving applicable dimensions, configuration, finishes, options, drawings, and specifications before production when approval is requested.

Changes requested after approval may:

• Increase the purchase price
• Create additional engineering or manufacturing charges
• Delay production or delivery
• Require a written change order
• Be unavailable once manufacturing has reached certain stages

Domicina is not responsible for errors in specifications or selections approved by the customer unless the error originated from Domicina.

Modular structures are manufactured products. Reasonable manufacturing tolerances and minor differences in finish, texture, color, alignment, sealant appearance, or other cosmetic characteristics may occur.

Minor variations that do not materially affect the product's intended functionality are not automatically considered defects.

Manufacturing, ocean freight, customs clearance, inland freight, and delivery dates may be estimates unless Domicina expressly provides a guaranteed date in writing.

Delays may occur because of circumstances including:

• Manufacturing delays
• Material shortages
• Port congestion
• Customs inspections
• Weather
• Carrier delays
• Labor disruptions
• Government action
• Supply-chain events
• Force majeure events

Domicina will comply with applicable laws governing shipment delays.

Where applicable law gives a customer the right to cancel because Domicina cannot ship within an agreed timeframe, Domicina will provide the customer with the legally required cancellation and refund options.

Delivery requirements and responsibilities will be identified in the applicable order documents.

Unless specifically included in writing, Domicina's sale of a modular structure does not include:

• Site preparation
• Foundations
• Excavation
• Crane service
• Final positioning
• Installation
• Electrical connection
• Plumbing connection
• Sewer or septic connection
• Utility trenching
• On-site construction work

The customer is responsible for ensuring that the delivery location has suitable access for the applicable truck, trailer, crane, or other equipment.

Additional costs resulting from inaccessible sites, failed delivery attempts, customer-caused delays, storage, redelivery, or special equipment may be charged to the customer.

Customers should inspect the product promptly upon delivery.

Visible freight damage should be photographed and reported to Domicina as soon as possible, preferably before the delivery carrier leaves the site.

Customers should preserve:

• Photographs and video
• Delivery documents
• Bills of lading
• Packaging evidence
• Carrier notations
• Any other evidence of damage

Failure to document visible freight damage may limit Domicina's ability to pursue a claim against a carrier.

Nothing in this section eliminates rights that cannot legally be waived.

Domicina may arrange independent inspections during manufacturing, before shipment, after arrival, or at other points in the fulfillment process.

An inspection is intended to help identify observable quality or specification issues at the time of inspection.

No inspection guarantees that:

• Every defect will be detected
• Future damage will not occur
• The structure is approved for every possible use or jurisdiction
• Site-specific engineering is unnecessary
• Improper installation cannot cause damage

Unless Domicina expressly agrees otherwise in writing, the customer is responsible for selecting qualified professionals for foundation design, site preparation, unloading, installation, utility connections, and other work performed after delivery.

The customer is responsible for ensuring the site is suitable for the structure and intended use.

Domicina modular structures can be used for many purposes, but the suitability of a specific model depends on the customer's location, site conditions, configuration, and intended use.

The customer is responsible for determining what requirements apply at the destination before using or installing the product, including any applicable building, structural, zoning, permitting, utility, occupancy, fire, electrical, plumbing, wind, snow, seismic, flood, or similar requirements.

Domicina does not represent that every product is automatically approved for every jurisdiction or use.

Any product-specific warranty will be identified in the applicable sales agreement, warranty document, manufacturer documentation, or order materials.

Manufacturer warranties may be subject to their own terms and exclusions.

To the maximum extent permitted by law, Domicina makes no warranty beyond warranties expressly provided in writing.

Nothing in these Terms excludes any warranty or consumer right that cannot lawfully be excluded.

Domicina is not responsible for damage caused by:

• Improper unloading or installation
• Improper foundation or site preparation
• Unauthorized structural modification
• Improper electrical or plumbing work
• Failure to maintain the structure
• Misuse
• Overloading
• Accident
• Extreme conditions outside the product's specified design criteria

Unauthorized modification may affect applicable warranties.

To the maximum extent permitted by applicable law, Domicina will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the website or a Domicina product.

Where legally permitted, Domicina's aggregate liability relating to a particular product will not exceed the amount actually paid to Domicina for the product giving rise to the claim.

These limitations do not apply where prohibited by law.

Manufacturers, carriers, customs brokers, inspectors, contractors, payment processors, and other third parties may provide services related to an order.

Domicina is not responsible for independent acts or omissions of third parties except to the extent responsibility is imposed on Domicina by applicable law or the applicable sales agreement.

The Domicina name, website content, branding, graphics, text, designs, and other proprietary materials may not be copied, reproduced, distributed, or commercially used without authorization.

Third-party trademarks remain the property of their respective owners.

You may not use Domicina.com to:

• Violate applicable law
• Attempt unauthorized access to website systems
• Introduce malware or malicious code
• Interfere with website operation
• Misrepresent your identity
• Copy or scrape website content for unauthorized commercial purposes

Domicina will not be responsible for delays or failure to perform caused by events reasonably outside its control, including natural disasters, war, civil disturbance, government restrictions, strikes, epidemics, port closures, supply shortages, transportation interruptions, carrier failures, or similar events.

This section does not eliminate any cancellation or refund right that applicable law requires Domicina to provide.

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise.

Any legal proceeding relating to these Terms or a Domicina transaction may be brought in a court of competent jurisdiction in New Mexico unless applicable law provides the customer with another non-waivable right.

You agree that Domicina may communicate with you electronically concerning quotes, orders, documents, invoices, specifications, delivery information, and other business matters.

Electronic records, approvals, and signatures may be used to conduct transactions where permitted by applicable law.

Domicina may update these Terms from time to time.

Changes will apply prospectively from the date the updated Terms are posted unless otherwise required by law.

The terms in effect when an order is accepted will govern that order unless the parties agree otherwise.
